Protection also arises under common law obligations of confidence and, in some cases, under the Indian Contract Act 1872. To effectively protect trade secrets, organizations must take reasonable steps to maintain secrecy — including access controls, information security policies and employee training. Without demonstrable protective measures, claims of trade secret misappropriation become difficult to sustain.

An IP assignment is the transfer of ownership of the IP from the assignor to the assignee — the assignee becomes the new owner of the assigned rights. Under Indian law, both patent assignments and licences must be in writing to be enforceable, and patent assignments may be registered with the Indian Patent Office to be effective against third parties.
